Who you are contracting with

These Terms & Conditions govern your use of the websites, digital products, subscriptions, and merchandise offered by MooneChild Enterprise, LLC ("MooneChild," "we," "us," or "our"), a limited liability company in the United States. When you buy from us or use our services, you are contracting with MooneChild Enterprise, LLC.

Acceptance

By accessing this site, creating an account, or purchasing a product or subscription, you agree to these terms. If you do not agree, please stop using the service. You confirm that you are of legal age to enter a contract, or that you have authority to bind the organisation you represent.

What we provide

MooneChild Enterprise, LLC publishes music, fiction, poetry, and artwork, and operates creative software including ChordCraft Lab and the Simplex DAW Assistant. Subscriptions grant a limited, non-exclusive, non-transferable right to use the features included in the plan you selected, for as long as the subscription is current. Merchandise is produced and shipped through our print partner.

Your account

You are responsible for keeping your sign-in credentials confidential and for all activity under your account. Please give us accurate information and keep it current so we can deliver what you have paid for.

Acceptable use

You must not misuse the service. In particular, you must not:

  • use the service for anything unlawful, fraudulent, or abusive, including spam;
  • infringe our intellectual property or that of any third party;
  • upload or distribute malware, probe or interfere with our security, or scrape the service;
  • reverse engineer, resell, redistribute, or circumvent technical limits of our software;
  • share paid account access with people outside your household or organisation.
Intellectual property

All songs, recordings, manuscripts, artwork, photography, software, documentation, and branding remain the property of MooneChild Enterprise, LLC or its licensors. Buying a product or subscription does not transfer ownership or grant redistribution rights.

Service availability

We work hard to keep everything running, but we do not guarantee that the service will be uninterrupted, timely, secure, or error-free. Features may change or be retired as the catalogue evolves.

Payments, subscriptions, and tax

Subscriptions renew automatically at the interval shown at checkout until cancelled. ChordCraft Pro includes a 14-day free trial; a payment method is collected at signup and the first charge is taken when the trial ends unless you cancel before then. Cancelling stops future renewals and you keep access until the end of the period you have paid for.

Payment, billing, currency, tax, invoicing, cancellation, and refund mechanics are handled by Paddle. Please see the Paddle Buyer Terms and our Refund Policy.

Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Suspension and termination

We may suspend or terminate access for material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. Where the situation allows, we will contact you first. On termination, your right to use the service ends; you may request a copy of content you created within 30 days.

Warranties and liability

To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose. Our aggregate liability is limited to the fees you paid us in the twelve months before the claim. We are not liable for indirect, consequential, or special damages, including lost profits, data, or goodwill. Nothing here excludes liability for fraud, death, or personal injury where the law does not allow it.

Indemnity

You agree to indemnify MooneChild Enterprise, LLC against claims arising from content you submit, your unlawful use of the service, or your breach of these terms.

Governing law and disputes

These terms are governed by the laws of the United States and the state in which MooneChild Enterprise, LLC is registered, and disputes will be heard in the courts of that state. We may assign these terms as part of a merger or acquisition; you may not assign them without our consent. Neither party is liable for delays caused by events beyond reasonable control.
